DR INSIDER
TERMS AND CONDITIONS OF MEMBERSHIP
Last Updated: September 8, 2026
These Terms and Conditions of Membership (these "Terms") are a binding contract between you ("you," "your," or "Member") and TA Insider LLC, doing business as DR Insider, a New Hampshire limited liability company that owns and operates the DR Insider membership platform ("DR Insider," the "Company," "we," "us," or "our"). These Terms govern your access to and use of the DR Insider membership program and the content, training, resources, and services we make available through it (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. By creating an account, purchasing a membership, clicking to accept these Terms, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to both you individually and that entity.
- Eligibility and Membership Requirements
Eligibility. The Service is offered only to users who are at least 18 years of age and able to form a legally binding contract. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for use by professional travel advisors and related travel-industry professionals.
Account Accuracy. You must provide and maintain current, accurate, and complete account information. Inaccurate, incomplete, or obsolete information may result in suspension or immediate termination of your account.
Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Your account is personal to you and may not be shared. You agree not to permit any other person to access the Service using your credentials, and you must notify us immediately at [email protected] of any unauthorized access, use of your account, or other breach of security.
Username Policy. Usernames may not be offensive, vulgar, or infringe on the trademarks or other rights of any third party. We reserve the right to refuse service, reclaim any username, or terminate accounts in our sole discretion.
- Definitions
For purposes of these Terms:
"Content" means all materials made available through the Service, including exclusive photographs, videos, agent guides, training, courses, destination and supplier information, and information regarding tour operators, destination management companies (DMCs), and hotels, together with all text, graphics, designs, and their selection and arrangement.
"Member" means any person or entity that registers for or holds a DR Insider membership.
"Membership Term" means the annual period for which your membership is purchased, as it renews under Section 5.
"Service" has the meaning given above and includes the DR Insider platform, website, member dashboard, and all related communications.
- License to Use the Service
Subject to your compliance with these Terms and payment of all applicable fees, DR Insider grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Content solely for your own internal, professional use as a travel advisor during your active Membership Term. The Content is provided for the sole use of the purchasing Member. All rights not expressly granted are reserved by the Company.
- License to Use the Content; Restrictions on Use
4.1 License and Permitted Use. Subject to these Terms and your membership remaining active and in good standing, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Content solely for your own internal business purposes as a travel professional. In addition, you may use the photographs and videos made available through the Service (βMarketing Mediaβ) for the purpose of marketing, promoting, and selling travel services to your own retail travel clients and prospective clients in the ordinary course of your travel business (βPermitted Useβ). The Permitted Use includes incorporating the Marketing Media into your own client-facing marketing materials β such as social media posts, advertisements, email campaigns, proposals, itineraries, brochures, and your own client-facing website or booking pages β in each case to promote and sell travel to travelers who are your end customers. This is the intended use of the membership, and we encourage it. All Content other than the Marketing Media β including agent guides, training, courses, and destination, supplier, tour operator, destination management company (DMC), and hotel information β is licensed for your own internal use only and may not be shared, displayed, or distributed to your clients or to any other person.
4.2 Restrictions on Use. You agree that you will not, and will not permit any other person to:
- share, disclose, license, sublicense, sell, rent, lease, assign, distribute, transmit, or otherwise make the Content or the Service available to any other travel agent, travel advisor, agency, agency peer, colleague in the travel trade, or any other person who is or could be a purchaser of, or subscriber to, a membership, content library, or similar product or service β provided that nothing in this Section 4.2(a) restricts your Permitted Use of the Marketing Media under Section 4.1, including displaying or distributing the Marketing Media to your own retail travel clients and prospective clients in the course of marketing and selling travel to them;
- reproduce, redistribute, republish, resell, rebrand, or repurpose any Content, in whole or in part, as or as part of any membership, subscription, course, training program, content library, template pack, or other product, program, or service that is offered, marketed, or made available to other travel agents, travel advisors, agencies, or others in the travel trade, or otherwise commercially exploit any Content in a manner that competes with or substitutes for the Service; using the Marketing Media to market and sell travel to your own retail clients under Section 4.1 is permitted and is not a violation of this Section 4.2(b);
- modify, make derivative works of, disassemble, decompile, reverse engineer, or attempt to derive the source or underlying structure of any part of the Service; except that you may crop, resize, or incorporate the Marketing Media into your own client-facing marketing materials as reasonably necessary for your Permitted Use, provided you do not alter the Marketing Media in a way that misrepresents the underlying travel product or removes any notice described in Section 4.2(d);
- remove, alter, or obscure any copyright, trademark, or other proprietary notice contained in the Content or the Service;
- use any robot, spider, scraper, or other automated means to access, copy, or monitor any portion of the Service, or introduce any virus, malware, or other harmful code; or
- use the Service in any way that violates any applicable law or regulation, or that could disable, overburden, damage, or impair the Service or interfere with any other partyβs use of it.
4.3 Reservation; Term of Use. All rights not expressly granted to you are reserved by us. Your right to use the Content is authorized only while your membership is active and in good standing. Upon expiration or termination of your membership for any reason, all rights to access and use the Content immediately cease, and you must stop using and, at our request, promptly destroy any copies of the Content in your possession or control. The restrictions in Section 4.2 survive expiration or termination of your membership.
- Fees, Automatic Renewal, and Cancellation
Annual Dues. Membership is sold on an annual basis. You agree to pay all membership fees and charges in effect at the time they become due, using a valid payment method, in accordance with the pricing and billing terms disclosed to you at the time of purchase.
Discount Codes and Promotional Pricing. From time to time we may offer discount or promotional codes in connection with sales or other promotions, including codes that provide a percentage discount off the applicable annual membership fee. Any such discount is personal to you, is offered on the condition that you maintain continuous, active membership, and applies only for so long as you do so. If your membership lapses or is otherwise not in effect for a period of one (1) year, or if a scheduled renewal payment fails and is not successfully completed (including after any retry attempts described in Section 7), we may rescind the discount, and your membership fee will revert to the then-current standard annual fee for each subsequent Membership Term. Discount and promotional codes are non-transferable, may not be combined with other offers unless we expressly state otherwise, and are otherwise subject to any additional terms disclosed at the time they are offered.
Automatic Renewal; Your Consent. YOUR MEMBERSHIP AUTOMATICALLY RENEWS. At the end of each Membership Term, your membership will automatically renew for a successive annual term, and we (or our payment processor) will automatically charge your payment method the then-current annual fee, unless and until you cancel in accordance with this Section. By enrolling, you affirmatively acknowledge and consent to these automatic renewal terms, the recurring charge, and the amount and frequency of that charge, and you authorize us to charge your payment method on a recurring basis without further notice or consent. You agree to keep your billing information current and to notify us promptly of any change to your payment method or billing address.
Renewal Reminder. Before each renewal charge, we will provide a reminder of the upcoming renewal and the applicable fee, and notice of any material change to the fee, by email or through the member dashboard, to the extent required by applicable law.
Cancellation. You may cancel automatic renewal at any time by submitting a cancellation request to [email protected]. To stop the next renewal charge, your cancellation request must be received by us before the renewal date of your then-current Membership Term. Cancellation stops future renewals; it does not entitle you to a refund of fees already paid, which are NON-REFUNDABLE, and your access continues through the end of the then-current Membership Term.
Non-Usage. Failure to use the Service does not constitute cancellation and does not relieve you of your payment obligations.
- Refund Policy
Except as expressly required by applicable law, all membership fees and all charges for digital Content, training, courses, or other proprietary resources are non-refundable, including once access has been granted or Content has been delivered. If you are not satisfied with the Service, we encourage you to contact us at [email protected] so we can try to address your concerns.
- Payment Failures and Late Fees
If a scheduled payment fails, we may retry the charge up to six (6) times. After two (2) failed attempts, a late fee of ten dollars ($10) may be applied. Any outstanding balance may result in suspension of your access to the Service until the balance is paid. You are responsible for any third-party fees you incur in connection with the Service, and for any reasonable costs of collection (including reasonable attorneys' fees) of undisputed past-due amounts.
- Availability, Changes, and Errors
We may change, correct, or update information, pricing, descriptions, features, or Content at any time without prior notice. We do not warrant that information available through the Service is accurate, complete, or current, and any reliance you place on such information is at your own risk. We may modify, suspend, or discontinue all or any part of the Service at any time, with or without notice, and we will not be liable to you or any third party for doing so.
- Intellectual Property and Trademarks
Ownership. The Service and all Content, features, functionality, and branding are owned by the Company and its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. No right, title, or interest in the Service or the Content is transferred to you, and all rights not expressly granted are reserved.
Trademarks. "DR Insider," "Travel Agent Insider," and related names, logos, and slogans are trademarks of the Company. "DR Insider" is a trademark of the Company for which registration is pending. You may not use any of these marks without our prior written permission. All other names and marks appearing on the Service are the property of their respective owners.
- Media Release
By participating in DR Insider events, programs, or interactive features, you grant the Company permission to use photographs, recordings, and likenesses captured in connection with your participation for marketing and promotional purposes in any media, without additional compensation to you.
- Member Feedback and Suggestions
Any feedback, comments, ideas, or suggestions you provide regarding the Service (collectively, "Suggestions") are and will remain the sole property of the Company. We may use, copy, modify, publish, and otherwise exploit the Suggestions for any purpose without any obligation, credit, or compensation to you.
- Copyright Complaints
We respect the intellectual property rights of others. If you believe that any material available through the Service infringes your copyright, please send a written notice to our designated contact at [email protected] that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and its location; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner. It is our policy to terminate the accounts of repeat infringers in appropriate circumstances.
- Third-Party Links and Services
The Service may contain links to, or make available, third-party websites, content, or services that we do not control. We provide these solely for your convenience and are not responsible for the content, accuracy, or practices of any third party. Your access to and use of any third-party website or service is at your own risk and subject to that third party's own terms and policies.
- Account Suspension and Termination
By You. You may stop using the Service at any time and may cancel automatic renewal as provided in Section 5.
By Us. We may suspend or terminate your account and access to the Service immediately, with or without notice, for conduct that violates these Terms (including unauthorized sharing or commercial use of Content), for non-payment, for misuse of the Service, or as we otherwise determine appropriate in our reasonable discretion.
Effect of Termination. Upon termination or expiration, your license and right to access the Content immediately cease. Termination does not relieve you of any payment obligations incurred before the effective date of termination. All provisions of these Terms that by their nature should survive β including those relating to ownership, license restrictions, fees already incurred, feedback, disclaimers, limitation of liability, indemnification, and dispute resolution β survive termination.
- Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS OR EXPECTATIONS. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
- Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
- Indemnification
You agree to defend, indemnify, and hold harmless the Company and its owners, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your sharing or other use of Content in violation of these Terms, your violation of these Terms, or your violation of any law or the rights of any third party.
- Governing Law, Venue, and Waiver of Jury Trial and Class Actions
Governing Law. These Terms, and any dispute or claim arising out of or relating to them or the Service (including non-contractual disputes or claims), are governed by and construed in accordance with the internal laws of the State of New Hampshire, without giving effect to any choice- or conflict-of-law provision or rule.
Exclusive Jurisdiction and Venue. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the state courts located in Rockingham County, New Hampshire, or in the United States District Court for the District of New Hampshire. You and the Company irrevocably submit to the exclusive jurisdiction of these courts and waive any objection to the exercise of jurisdiction or venue in these courts, including any objection based on an inconvenient forum.
Informal Resolution. Before filing any action, the party raising a dispute is encouraged to first send the other a written notice describing the nature and basis of the claim and the relief sought β to the Company at [email protected] β and the parties will attempt in good faith to resolve the dispute informally. This step does not limit either party's right to pursue the dispute in the courts identified above.
Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY SUIT, ACTION, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY.
Waiver of Class Actions. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Equitable Relief. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in the courts identified above to protect its intellectual property or confidential information.
- Limitation on Time to File Claims
TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES; OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.
- Changes to These Terms
We may modify these Terms from time to time. We will communicate material changes by email, through the member dashboard, or through the official DR Insider member group, with at least thirty (30) days' notice before they take effect. Changes to the dispute-resolution provisions in Section 18 will not apply to any dispute of which the parties had notice before the change. Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel as provided in Section 5.
- Purchases and Payment Authority
You represent that you have the legal right to use any payment method you provide. We reserve the right to refuse or cancel any order or membership for reasons including Service availability, errors in pricing or Content descriptions, or suspected fraud or unauthorized activity.
- Waiver and Severability
No waiver by the Company of any term of these Terms is a continuing waiver or a waiver of any other term, and our failure to assert any right or provision does not constitute a waiver of it. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
- Entire Agreement
These Terms, together with our Privacy Policy and any terms expressly incorporated by reference or presented at the time of purchase, constitute the entire agreement between you and the Company regarding the Service and supersede all prior and contemporaneous understandings and agreements regarding the Service.
